Terms of service
These terms apply to business account holders and to anyone who opens, reviews, approves, declines, or confirms an approval record through ExtraApprove.
1. What ExtraApprove Is
ExtraApprove is recordkeeping software for extra-work approvals. It helps a business describe a change, attach proof, send a customer review link, record an email-verified customer decision, upload completion proof, and keep a PDF proof record.
ExtraApprove is not a law firm, lawyer, payment processor, escrow service, debt collector, accountant, insurer, or dispute resolution service. ExtraApprove does not perform the work, inspect the job site, verify the physical quality of work, collect money, move funds, or guarantee that a record will be legally enforceable in every situation.
2. Acceptance and Authority
By creating an account, creating an approval, sending a customer link, opening a customer link, or taking action on an approval, you agree to these terms and the privacy notice.
ExtraApprove is intended for business use. If you use it for a company, contractor, agency, or other organization, you confirm that you are authorized to bind that organization. If you approve or confirm a customer record, you confirm that you are authorized to take that action for the customer or site shown on the record.
3. Business User Responsibilities
Business users are responsible for:
- the services, materials, prices, taxes, invoices, and work described in each approval;
- making sure every approval is truthful, complete, and not misleading;
- having permission to contact the customer and send transactional approval emails;
- having the rights and permissions needed to upload photos, screenshots, quotes, PDFs, and other files;
- complying with consumer protection, trade, licensing, tax, privacy, employment, construction, professional, and industry rules that apply to their business;
- checking whether an approval record is enough for their own contract, jurisdiction, and risk level; and
- responding to customer questions, correction requests, deletion requests, disputes, chargebacks, complaints, or legal demands.
4. Customer and Reviewer Responsibilities
Customers and reviewers should read the scope, price, timing, uploaded files, and completion proof before taking action. If anything is unclear, use the question or review options instead of approving or confirming.
Customer actions may record email verification, typed names, timestamps, IP address, decision details, and notes. These records are used to show what happened inside the approval workflow.
5. Approval Records and Disputes
Approval records depend on information entered by business users and actions taken by customers. ExtraApprove does not promise that the information entered by a user is true, that uploaded evidence is complete, or that a customer decision resolves every dispute.
Any dispute about the underlying work, price, safety, completion, workmanship, refund, warranty, or customer relationship is between the business and its customer. ExtraApprove is not responsible for the underlying job or transaction.
6. Payments, Taxes, and Billing
ExtraApprove does not collect customer payments, hold funds, release funds, process refunds, provide escrow, or determine when payment is legally owed. If a business marks payment as received, that is only the business's own record of a payment handled outside ExtraApprove.
Business users are responsible for their own invoices, receipts, taxes, accounting, payment disputes, and refund obligations. If ExtraApprove later offers paid subscriptions through a payment provider, the payment provider's checkout and billing terms may also apply.
7. Prohibited Use
You must not use ExtraApprove to:
- commit fraud, impersonate another person, forge approval, or pressure someone into approving;
- make false, deceptive, or misleading statements about work, prices, deadlines, evidence, or customer decisions;
- upload illegal, infringing, confidential, unsafe, harmful, or unauthorized content;
- store medical, financial account, government ID, children's, or other highly sensitive data unless you have confirmed in writing that your use is lawful and appropriate for ExtraApprove;
- interfere with security, test vulnerabilities without permission, scrape the service, or abuse email delivery; or
- use the product for regulated, safety-critical, legal, medical, financial, or compliance decisions without your own professional review.
8. Files, Data, and Service Providers
You keep ownership of content you upload, but you give ExtraApprove permission to host, process, display, email, and generate records from that content as needed to provide the service.
ExtraApprove may use service providers for hosting, database, storage, authentication, email delivery, analytics, security, support, and payments. Those providers may process data only as needed to provide their services to ExtraApprove.
9. Availability and Security
ExtraApprove uses reasonable technical and organizational measures to operate the service, but no online service is guaranteed to be uninterrupted, error-free, permanently available, or immune from security incidents. Keep your own copies of records you cannot afford to lose.
10. Disclaimers
To the fullest extent permitted by law, ExtraApprove is provided as-is and as-available, without warranties of any kind. We do not warrant that the service will meet every requirement, prevent every dispute, prove every approval, or satisfy every legal, accounting, tax, regulatory, professional, or contractual requirement.
Nothing in these terms limits rights that cannot legally be limited, including rights under mandatory consumer protection laws that apply to you.
11. Limitation of Liability
To the fullest extent permitted by law, ExtraApprove will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of business, goodwill, data, contracts, revenue, or opportunity.
To the fullest extent permitted by law, ExtraApprove's total liability for any claim relating to the service is limited to the greater of FJD 100 or the amount you paid ExtraApprove for the service in the 3 months before the event giving rise to the claim.
12. Indemnity
Business users agree to defend, indemnify, and hold ExtraApprove harmless from claims, losses, liabilities, damages, costs, and expenses arising from their work, customers, approvals, uploaded files, misuse of the service, breach of these terms, violation of law, or dispute with a customer or third party.
13. Suspension and Termination
We may suspend or terminate access if we believe an account is being used unlawfully, fraudulently, unsafely, abusively, or in a way that creates risk for ExtraApprove, users, customers, or service providers.
14. Governing Law
These terms are governed by the laws of Fiji, except where mandatory laws require otherwise. Courts in Fiji will have exclusive jurisdiction where that is legally permitted.
15. Changes and Contact
We may update these terms as the product changes. Continued use of ExtraApprove after an update means you accept the updated terms. Questions can be sent to hello@extraapprove.com.
